I had been working at a large law firm that was based out of Boston for a little more than six years when I made the move to Choate. The transition was similar to the extent that I moved from one large firm to another, but I could tell immediately that this is a very different law firm culture, which was probably one of the biggest things that attracted me to Choate.

Mid-Level Fund Formation Associate

Choate is currently seeking a Corporate Fund Formation Associate with at least three years of experience in fund formation for private equity & venture capital sponsors and their investors. Required experience includes working on fund formation engagements, including drafting and negotiations of limited partnership agreements, subscription agreements and side letter agreements; legal review and completion of private placement memoranda; drafting general partner and management company arrangements; regulatory compliance matters for private equity and venture capital firms; and all other documents and processes relevant to fund formation transactions and private equity and venture capital firm clients. The ideal candidate should have knowledge of the Securities Act, the Investment Company Act and the Investment Advisers Act, as these laws and their related rules apply to private equity and venture capital funds. Must be a self-starter and possess excellent professional judgement and strong work ethic. This individual should be highly motivated to provide exceptional client service and value the opportunity for personal and professional growth in a collaborative environment. Large firm experience strongly preferred.

Mid-Level Associate -  Debt Finance

Highly-qualified associate to join our diverse, fast-paced Debt Finance practice. The candidate will work on matters representing banks, private credit lenders, institutional investors, and corporate clients in a wide-range of asset-based, acquisition and cash-flow financing transactions, junior capital investments, restructurings, and bankruptcy matters. Significant experience working on the transactional aspects of complex debt finance matters is required. Strong academic credentials, sound professional judgment, and high motivation to provide exceptional client service required. Large firm experience is preferred.

Junior/Mid-Level Associate – Intellectual Property (Biological Sciences)

A 1st to 4th-year associate with a strong technical background in biological sciences. Advanced degree required (Ph.D. preferred; will consider a Master’s degree with substantial industry experience). Experience drafting and prosecuting patent applications and conducting IP due diligence and FTO analyses required. Some litigation and/or post-grant experience useful. Registration with the USPTO preferred. Candidates must have: an excellent academic record, superior organizational and communication skills (written and oral), a demonstrated commitment to providing exceptional client service and a creative and entrepreneurial perspective on IP. Must be willing to work in person 3 times per week.
